In such cases, the entity is not liable for the offenses committed by the individual if:<ul><li style=\"list-style-type: none;\"> <\/li><\/ul><ul><li style=\"list-style-type: none;\"><ul><li>It demonstrates that it has adopted an organizational and management model suitable for preventing the offenses indicated in D.L.231;<\/li><\/ul><\/li><\/ul><ul><li style=\"list-style-type: none;\"><ul><li>It has entrusted an external body with independent powers of initiative and control with the task of supervising the functioning of the model;<\/li><\/ul><\/li><\/ul><ul><li style=\"list-style-type: none;\"><ul><li>There was no failure in supervision; <\/li><\/ul><\/li><\/ul><\/li><\/ul><\/li><\/ul><p>Therefore, an <strong>Organizational and Management Model<\/strong> pursuant to <strong>Legislative Decree 231\/2001<\/strong> is a set of protocols that regulate and define the corporate structure and the management of its sensitive processes.
